NGEx Resources Closes CDN $12.5 Million Private Placement

VANCOUVER, BRITISH COLUMBIA--(Marketwired - Jan. 3, 2018) - NGEx Resources Inc. (TSX:NGQ) (NASDAQ OMX:NGQ) ("NGEx" or the "Company") is pleased to report that it has closed its previously announced private placement.

The Company sold an aggregate of 12,500,000 common shares (the "Common Shares") at a price of CAD $1.00 per Common Share for gross proceeds of CAD$12.5 million on a non-brokered, private placement basis. A 5% finders' fee is payable on a portion of the Private Placement.

Net proceeds of the Private Placement will be used towards ongoing work programs in Chile and Argentina as well as for general corporate purposes.

The Common Shares sold in the Private Placement are subject to a hold period of four months plus one day under applicable securities law.

Two insiders of the Company, directly or indirectly, purchased a total of 2,500,000 Common Shares under the Private Placement (the "Insider Participation"), constituting a "related party transaction" as defined under Multilateral Instrument 61-101 ("MI 61-101"). These transactions are exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 as neither the fair market value of any Common Shares issued to nor the consideration paid by such persons would exceed 25% of the Company's market capitalization.
