("Red Cloud") to act as lead agent and sole bookrunner, on behalf of a syndicate of agents including Scotia Capital Inc. (collectively, the "Agents"), in connection with a "best efforts" private placement (the "Offering") for aggregate gross proceeds of up to C$8,000,200 from the sale of up to 9,412,000 units of the Company (each, a "Unit") at a price of C$0.85 per Unit (the "Offering Price").

Each Unit will consist of one common share of the Company (each a "Unit Share") and one-half of one common share purchase warrant (each whole warrant, a "Warrant"). The securities offered have not been registered under the U.S. Securities Act, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
