THUNDER BAY, Ontario, Oct. 22, 2018 (GLOBE NEWSWIRE) -- MEXICAN GOLD CORP. ("Mexican Gold" or the "Company") (TSX-V: MEX/ OTCQB: MEXGF / FRA: 4QW1) is pleased to announce that it intends to complete a non-brokered private placement (the "Private Placement") of up to $3,000,000 at a price of $0.20 per unit (“Unit”) with a small group of investors. The Company may, in its sole discretion increase the size of the Private Placement by up to 25% for aggregate gross proceeds of up to $3,750,000 at the price of $0.20 per Unit at any time prior to the closing of the Private Placement. Each Unit will consist of one common share of the Company and one common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant will entitle the holder to purchase one transferable common share of the Company for a period of thirty-six months from the closing date of the Private Placement at a price of $0.30 per common share.
The net proceeds from the Private Placement will be used to continue exploration on the Company’s Las Minas project located in the State of Veracruz, Mexico, property payments, and general working capital purposes.
In connection with the Private Placement, certain arm's length parties may receive a cash finder's fee payment on the gross proceeds of the Units that are sold to subscribers introduced by such parties. The finder's fee payment is subject to the approval of the TSX Venture Exchange (the "Exchange").
The Company will have the right to accelerate the expiry date of the Warrants on notice to the holders of the Warrants, if at any time after four months and one day from the closing date of the Private Placement, the closing price of its Common Shares on a stock exchange in Canada is greater than $0.45 per Common Share for a period of 20 consecutive trading days, in which case the Warrants will expire 30 days after the date on which such notice is given.
The Units to be issued under this Private Placement will be offered in the provinces of Ontario and British Columbia and such other provinces of Canada as may be determined by the Company, in each case, pursuant to applicable exemptions from the prospectus requirements under applicable securities laws. Closing of the Private Placement is anticipated to occur on or before November 10, 2018 and is subject to receipt of all required regulatory approvals including the approval of the TSX Venture Exchange. Units issued under the Private Placement will be subject to a four month and one day statutory hold period.
